SnelUBL

1. General provisions

Article 1 Definitions

In these terms of service, the following terms are understood to mean:

SnelUBL: OrangePear B.V., located at Neerkanne 32, 1082 BH Amsterdam, trading under the trade name SnelUBL, registered with the Chamber of Commerce;

User: the natural person or legal entity that uses the services of SnelUBL;

Service: the service provision of SnelUBL regarding the conversion of invoice documents to UBL format;

Account: the user account created by the user to use the services;

UBL: Universal Business Language, an internationally standardized XML format for electronic business documents;

Invoice document: a document containing an invoice in a supported format (PDF, Word, Excel, images);

Converted file: the UBL file generated by SnelUBL based on a submitted invoice document;

Article 2 Applicability

2.1 These terms of service apply to all services offered by SnelUBL.

2.2 By using the services of SnelUBL, the user agrees to these terms of service.

2.3 Deviations from these terms of service are only valid if they have been agreed in writing.

Article 3 Changes

3.1 SnelUBL reserves the right to change these terms of service at any time.

3.2 Changes take effect after publication on the SnelUBL website.

3.3 In case of significant changes, SnelUBL will inform the user via email or via a notice on the website.

2. Service provision

Article 4 Description of the service

4.1 SnelUBL offers a service for converting invoice documents to UBL format.

4.2 The service includes:

  • Uploading invoice documents via the website or via email
  • Automatically extracting invoice data from the documents
  • Converting the data to UBL format
  • Delivering the converted UBL files to the user

4.3 SnelUBL strives for the highest possible accuracy in conversion, but cannot guarantee 100% accuracy.

Article 5 Availability

5.1 SnelUBL strives for the highest possible availability of the service, but cannot guarantee uninterrupted availability.

5.2 SnelUBL reserves the right to temporarily disable the service for maintenance, updates or other technical reasons.

Article 6 Supported formats

6.1 SnelUBL supports the following file formats:

  • PDF
  • Microsoft Word (.doc, .docx)
  • Microsoft Excel (.xls, .xlsx)
  • Image formats (PNG, JPEG, HEIF/HEIC, WebP)

6.2 SnelUBL reserves the right to change or discontinue support for certain formats.

3. Use of the service

Article 7 Account

7.1 Creating an account is required to use the service.

7.2 The user is obliged to provide correct and complete information when creating an account.

7.3 The user is responsible for keeping his account information confidential.

7.4 The user is liable for all actions performed with his account.

Article 8 Use

8.1 The user may only use the service for legal purposes.

8.2 The user may not use the service to:

  • Perform illegal activities;
  • Violate the rights of third parties;
  • Distribute malware or harmful code;
  • Abuse or manipulate the service.

8.3 SnelUBL reserves the right to deny users who act in violation of these terms access to the service.

Article 9 Content of documents

9.1 The user is responsible for the content of the documents submitted by him.

9.2 The user guarantees that he is authorized to submit the documents and that the documents do not infringe the rights of third parties.

9.3 SnelUBL is not responsible for the content of the documents submitted by the user.

4. Rates and payment

Article 10 Rates

10.1 The rates for the service can be found on the SnelUBL website.

10.2 SnelUBL reserves the right to change the rates.

10.3 Rate changes take effect after publication on the website.

Article 11 Payment

11.1 Payment must be made according to the payment methods stated on the website.

11.2 If the user does not pay on time, SnelUBL may suspend or terminate access to the service.

5. Intellectual property

Article 12 Rights to converted files

12.1 The user retains all rights to the invoice documents submitted by him.

12.2 The user obtains all rights to the UBL files generated by SnelUBL.

12.3 SnelUBL retains all rights to the software, technology and methods used for conversion.

Article 13 Use of trademarks

13.1 The user may only use the name or logo of SnelUBL with prior written permission from SnelUBL.

6. Liability

Article 14 Liability of SnelUBL

14.1 SnelUBL is not liable for damage resulting from:

  • The use or inability to use the service;
  • Errors or inaccuracies in the converted files;
  • Loss of data;
  • Delays in the delivery of the service.

14.2 The liability of SnelUBL is in any case limited to the amount that the user has paid for the service in the relevant calendar year.

14.3 SnelUBL is not liable for indirect damage, consequential damage, lost profit or missed savings.

Article 15 Liability of the user

15.1 The user is liable for all damage suffered by SnelUBL as a result of:

  • Non-compliance with these terms of service;
  • Use of the service in violation of the law;
  • Violation of the rights of third parties.

7. Privacy and data protection

Article 16 Processing of personal data

16.1 SnelUBL processes personal data in accordance with the General Data Protection Regulation (GDPR) and the SnelUBL privacy policy.

16.2 For more information about the processing of personal data, SnelUBL refers to the privacy policy on the website.

8. Termination

Article 17 Termination by the user

17.1 The user can cancel his account at any time via the website or by email.

17.2 Upon cancellation, the user's data will be deleted, unless there is a legal retention obligation.

Article 18 Termination by SnelUBL

18.1 SnelUBL may terminate access to the service if:

  • The user acts in violation of these terms of service;
  • The user does not pay on time;
  • There is fraud or abuse;
  • SnelUBL terminates the service for other reasons.

18.2 SnelUBL will inform the user in advance about the termination where applicable.

9. Other provisions

Article 19 Applicable law

19.1 Dutch law applies to these terms of service.

19.2 All disputes arising from or related to these terms of service will be submitted to the competent court in the Netherlands.

Article 20 Complaints

20.1 Complaints about the service can be submitted via email: snelubl.support@orangepear.com

20.2 SnelUBL will handle a complaint within a reasonable period.

Article 22 Entry into force
